Definitions
In these conditions the term "Seller" means Socks On
Ltd. The term "Purchaser" means the person, sole trader,
firm or company so named in any purchase order. The term "Consumer"
means a Purchaser who is a natural person and who does not buy
or agree to buy the Goods for business purposes. The term "Contract"
means the agreement between the Seller and the Purchaser for the
sale and purchase of the Goods. The term "Goods" means
the socks which the Seller supplies pursuant to the Contract to
the Purchaser. The term "Conditions" means the standard
terms and conditions of sale set out in the relevant schedule
and (unless the context otherwise requires) includes any special
terms and conditions agreed in writing between the Purchaser and
the Seller. The term "writing" includes telex, cables,
facsimile transmission and comparable means of communication.
The headings in these Conditions are for convenience only and
shall not affect their interpretation.
Consumer Sales
A. All orders are subject to these Conditions. If this is not
acceptable the Seller should be contacted within 7 days and a
full refund will be given for unopened and unused Goods.
1) Basis of
the Sale
a) It is the intention that all the terms of the Contract are
contained in these Conditions and in the brochure; advertisements;
specifications and other documentation supplied to the Consumer.
Please read carefully the order documentation to ensure that it
accords with your requirements.
b) For all orders a detailed list of items included will be provided.
The price quoted relates to the Goods included in that invoice
document.
c) All prices are given ex-works basis. A separate additional
charge will be made for transport, packaging and insurance.
d) The price is inclusive of any applicable value added tax.
e) If the consumer Protection (Distance Selling) Regulations 2000
apply to the contract, the consumer will have the right to cancel
this contract within 7 working days of delivery of the goods.
In this event, the consumer will be responsible for the cost of
returning the goods to this company in their original condition
and packaging; unless such goods are substitutes for the goods
originally ordered by the consumer. This company will meet the
cost of returning substitute goods.
2) Delivery
a) Where appropriate the Seller reserves the right to make deliveries
in installments.
b) All delivery dates are quoted in good faith.
c) The Seller shall not be liable for delay in delivery or failure
to produce due to act of God, acts of default of the Purchaser,
or any cause beyond the Sellers reasonable control.
3) Terms of
Payment
Payment is due on order. Goods will not be dispatched until the
payment has cleared or the necessary documentation set up for
a credit transaction.
4) Mode of
Delivery
When delivery instructions are not furnished by the Consumer the
Seller will endeavour to deliver by the route which the Seller
considers to be the most practical considering costs, the type
of Goods and the required date of delivery.
5) In-Transit
Damage
When Goods are passed to the carrier the responsibility for them
becomes the Consumers. The seller will always use high quality
carriers who provide insurance for damage however, the Consumer
must:-
i) Check all Goods for damage immediately they are delivered;
ii) Any shortfall or damage must be notified to the Seller within
7 days to enable the Seller to make a claim against the carrier
on the Consumer's behalf.
6) Warranties
and Liabilities
i) Any defect in or failure of the Goods during the warranty period
shall be notified in writing forthwith and the Seller shall at
its own expense and within a reasonable time thereafter repair
or exchange the Goods. The Seller shall not be liable for the
costs of carriage of defective Goods both to and from the Sellers
premises.
ii) The Seller provides a warranty in addition to the Consumer's
statutory rights for a period and on terms specified in the order
documentation.
iii) Refunds will be given at the discretion of the Company Management
7) The Law
This Contract shall be subject to and constructed in accordance
with laws of England and Wales in all respects as an English Contract
subject to the exclusive jurisdiction of the Courts of England
and Wales.
8. Consumer
Nothing in these Conditions is intended to restrict the rights
of the Consumer contained in Consumer legislation.
